Mukesh Ambani: Disney Deal Ushers in New Era for India’s Entertainment Industry

Reliance Industries Chairman Mukesh Ambani hailed the merger of media assets between Reliance and Walt Disney as a transformative moment for India’s entertainment sector. Speaking at the Reliance AGM, Ambani emphasized that the partnership marks the start of a new era by blending content creation with digital streaming, much like Reliance’s success with Jio and Retail. The deal, approved by the Competition Commission of India (CCI), combines Reliance’s media holdings, including TV18 and the Colors brand, with Disney’s assets, creating India’s largest media empire valued at over Rs 70,000 crore. The joint venture will house two major OTT platforms, Disney Hotstar and Jio Cinema, along with 120 television channels. Ambani highlighted that the combined media business would be a crucial growth center for the Reliance ecosystem, promising to deliver world-class digital entertainment to cater to diverse consumer tastes at affordable prices. “Our digital-first approach will deliver unparalleled content,” he added, underlining the potential of this venture to redefine India’s media landscape. The merger will see Reliance and its affiliates hold a 63.16% stake in the combined entity, while Disney will hold the remaining 36.84%. Reliance has committed to investing nearly Rs 11,500 crore into the venture to enhance its competitive edge against rivals like Sony and Netflix. Nita Ambani, wife of Mukesh Ambani, will chair the new joint venture, with Uday Shankar serving as Vice Chairperson. The CCI’s clearance of the merger followed adjustments proposed by both parties to the original transaction structure. Source: Business Standard

Survey Reveals 66% of Audiences Are Unsatisfied With Disability and Mental Health Representation in Entertainment

A recent survey conducted by the Inevitable Foundation has highlighted significant dissatisfaction among audiences regarding disability and mental health representation in the entertainment industry. The “Audiences Are Waiting for Hollywood to Greenlight Disability” report surveyed over 1,000 people and revealed that 66% of audiences are “unsatisfied with current representations of disability and mental health in film and TV.” The survey also found that 40% of audiences, both with and without disabilities, are “very likely” to recommend films or TV shows that authentically portray disability or mental health conditions to friends and family. This indicates a strong desire for more genuine representation in entertainment. Regarding viewing habits, the report noted that 35% of people with disabilities watch over 20 hours of television per week, compared to 25% of people without disabilities. Additionally, 20% of all audiences stated they would subscribe to new streaming services or attend more movies in theaters if these platforms included authentic representations of people with disabilities and mental health conditions. Saga Darnell, head of research and public affairs at the Inevitable Foundation, emphasized the clear dissatisfaction with current film and television options related to disability representation. “The findings from the Greenlight Disability Report are clear that all audiences—disabled and non-disabled people—are very unsatisfied with the film and television options available to them when it comes to disability representation,” Darnell said in a statement. The foundation stressed the potential benefits for entertainment industry leaders who invest in authentic disabled storytelling and ensure multi-dimensional portrayals of characters with disabilities and mental health conditions. Such investment could increase audience satisfaction, foster trust, and tap into an underutilized market segment. Inevitable Foundation is a non-profit organization dedicated to investing in writers and filmmakers with disabilities to destigmatize disability and mental health globally. Their research aims to bridge the data gap around disability in entertainment, exploring the experiences of the disabled population in the industry, on-screen narratives, and the impact of media portrayals on cultural stigma.

Sony Pictures Entertainment and Apollo Global Discuss Possible Joint Bid for Paramount Global

News on MEA

Sony Pictures Entertainment and Apollo Global Management are in discussions regarding a potential joint bid for Paramount Global, according to reports from the New York Times and sources familiar with the matter. While the conversations are ongoing, several challenges must be addressed before a formal offer can be made. Apollo Global Management had previously considered solo bids for Paramount Global, including a $26 billion offer and an $11 billion offer for the Paramount Pictures film studio. However, Paramount Global is currently engaged in exclusive negotiations with Skydance Media, exploring a merger that would integrate Paramount into Skydance under the leadership of Skydance CEO David Ellison. Paramount Global has established a special committee to evaluate offers and options, expressing reservations about Apollo’s bids due to concerns about regulatory approval and the potential impact of a financial buyer on the company’s assets. The proposed joint bid between Sony and Apollo entails Sony Corp. contributing Sony Pictures Entertainment to the joint venture, with both parties providing cash to facilitate the transaction. Sony would emerge as the majority owner of the combined entity, which would also include CBS. However, structuring the deal would require careful consideration, particularly regarding FCC regulations concerning foreign ownership of broadcast TV stations, given CBS’s ownership of 28 TV stations. While a representative for Apollo has yet to comment on the discussions, a Sony spokesman declined to provide further details. If successful, the partnership between Sony and Apollo would mark a significant shift for Sony Corp., which has maintained a Hollywood presence for over three decades. This potential move comes amid ongoing speculation about Sony’s commitment to its Hollywood investment. Meanwhile, the Skydance scenario involves keeping Paramount Global as a publicly traded entity, with Skydance and RedBird Capital Partners injecting capital to alleviate its substantial debt burden. The transaction would also usher in a change in leadership, with David Ellison assuming the role of CEO. However, concerns have been raised by some shareholders regarding the potential enrichment of controlling shareholder Shari Redstone in the Skydance deal. Skydance and RedBird are reportedly planning a roadshow to garner support from common shareholders, although the addition of Sony to the negotiations may complicate matters.

Sony Confirms Termination of $10 Billion Merger Deal with Zee Entertainment, Legal Battle Looms

Sony Corporation officially announced on Monday the termination of its proposed $10 billion mega-merger deal with Zee Entertainment, marking the collapse of the ambitious alliance that aimed to create India’s largest entertainment company. The agreement was intended to provide substantial financial prowess, positioning the unified entity to compete with global streaming giants like Netflix Inc. and Amazon.com Inc., as well as local conglomerates such as Reliance Industries Ltd, currently exploring potential partnerships with Disney. The termination notice served by Sony brings an abrupt end to the negotiations, which had been anticipated as Sony Group Corp signaled its hesitancy to extend the discussions beyond the originally agreed-upon deadline. The termination follows a report on January 21 by ET (Economic Times) indicating that Sony was unlikely to prolong the good faith negotiations with Zee Entertainment Enterprises Ltd. (ZEEL). Zee Entertainment, in response to Sony’s move, expressed its intention to take legal action against the Japanese conglomerate, setting the stage for a potential legal battle between the two entities. The fallout from the failed merger deal adds a layer of complexity to the media landscape, with Zee Entertainment now reassessing its strategic options. In a prior development, Zee had requested Sony to extend the merger deadline from December 21, 2023, citing the need for more time. The merger deal, initially inked on December 22, 2021, faced hurdles and uncertainties, ultimately leading to its termination. The termination of the Sony-Zee merger deal raises questions about the future trajectory of both companies in the highly competitive Indian entertainment market. Industry observers are closely watching the aftermath of this high-profile breakdown and its potential implications for the broader media and entertainment landscape in India.

Reliance Industries Nearing Multi-Billion Dollar Deal to Acquire Disney’s India Operations

News on MEA

Reliance Industries Ltd., led by Mukesh Ambani, Asia’s wealthiest tycoon, is reportedly nearing a significant deal involving cash and stock to acquire Walt Disney Co.’s operations in India. This deal revolves around Disney’s controlling stake in the Disney Star business, valued at approximately $10 billion, offering an alternative to the previously considered piecemeal transactions. Reliance assesses the assets at around $7 billion to $8 billion. The formal announcement of this acquisition is expected as early as next month, and it may include the integration of some of Reliance’s media units into Disney Star, although specifics remain undisclosed. According to insiders, Disney is likely to retain a minority stake in the Indian company following the completion of the cash and stock exchange. It’s important to note that no final decision has been reached regarding the deal or its valuation. Disney might still choose to retain ownership of the assets for a bit longer. Both Disney and Reliance declined to comment on the ongoing discussions. This potential deal underscores Mukesh Ambani’s growing influence in India’s entertainment industry. In 2022, he secured the streaming rights for the Indian Premier League for $2.7 billion and subsequently offered free broadcasts of the popular domestic cricket tournament on the JioCinema platform. Furthermore, Reliance obtained a significant contract to broadcast HBO shows from Warner Bros Discovery Inc. in India, content that was previously held by Disney. Despite Disney Star’s challenges with declining subscriber numbers, the media group has been actively investing in the market. In the past, they explored various options for the business, including an outright sale or forming a joint venture. Interestingly, Disney’s Indian streaming platform recently achieved a milestone by attracting a record 43 million viewers for the 2023 Men’s Cricket World Cup match between India and New Zealand, surpassing the viewership of the highly anticipated India-Pakistan match earlier this month, which had 35 million viewers.

The Evolution of Streaming Services: From Cable TV to Digital Domination

Blog on MEA

The advent of the internet has transformed nearly every aspect of our lives, and the entertainment industry is no exception. Gone are the days when families gathered around the television to watch their favourite shows at a prescribed time. The rise of streaming services has ushered in a new era of entertainment consumption in India. In this blog, we will explore the evolution of streaming services in the Indian context, from the early days of cable TV to the current era of digital domination. The Cable TV Era For decades, cable television was the primary source of entertainment for Indian households. It brought a variety of channels into our homes, offering a mix of regional and international content. Cable TV allowed viewers to watch news, sports, movies, and TV shows, but it had its limitations. Viewers had to adhere to fixed schedules, missing out on shows if they weren’t home at the right time. Moreover, the content was limited, and viewers had little control over what they could watch. The Birth of DTH Services The introduction of Direct-to-Home (DTH) services in the early 2000s marked a significant shift. DTH providers offered a wider range of channels and improved picture quality. Viewers could now choose from various subscription packages, customizing their entertainment experience to some extent. However, the fundamental constraints of scheduled programming and limited content still prevailed. Netflix, Amazon Prime Video, and Hotstar (now Disney+ Hotstar) were among the pioneers. These platforms allowed users to stream content over the internet, breaking free from the shackles of cable TV schedules. Netflix: Netflix made its debut in India in 2016, introducing a vast library of international and original content. Its ad-free, on-demand streaming model was a breath of fresh air for viewers tired of commercials interrupting their favourite shows. Amazon Prime Video: Amazon Prime Video followed suit, offering a mix of original series, movies, and a diverse catalogue. It also bundled its streaming service with its Prime membership, attracting a considerable audience. Hotstar (Disney+ Hotstar): Hotstar gained popularity for its sports content, including cricket matches and the Indian Premier League (IPL). The platform also featured a wide array of Bollywood and regional content. The Evolution of Regional Content One of the most significant advantages of streaming services was their focus on regional content. India is a diverse nation with multiple languages and cultures, and streaming platforms recognized the importance of catering to these differences. They began producing and showcasing regional content, including web series, movies, and documentaries, attracting a more extensive and diverse audience. Accessibility and Convenience One of the key reasons behind the digital domination of streaming services is their accessibility and convenience. Viewers can watch content on their smartphones, tablets, laptops, or smart TVs, anytime and anywhere. Mobile data becoming more affordable and widespread further facilitated this shift. The Rise of Competition As streaming services gained momentum, more players entered the Indian market. Disney+ Hotstar, Voot, ZEE5, SonyLIV, Jio Cinema and others offered a plethora of options.
